Terms and Conditions of Sale

1. GENERAL

The following terms and conditions, as well as any other related rules adopted by INSIGHT HUNTERS, S.L. and established in accordance with the provisions of this document (collectively, the “Terms and Conditions of Sale”), shall apply to all sales of INOXCROM® products ordered by you (the “Customer” or “you”) from INSIGHT HUNTERS, S.L., a company incorporated under the laws of Spain, with registered office at Carrer Pallars, No. 85, 6th floor, office 4, 08018 Barcelona, Spain, with tax identification number B65714313 (“INSIGHT HUNTERS” or, hereinafter, “our” or “we”), online through the INOXCROM® website with the domain name “www.inoxcrom.ink/tienda“ (the “Site”).

These Terms and Conditions of Sale shall apply exclusively to purchases made through the Site.

INSIGHT HUNTERS may modify these Terms and Conditions of Sale at any time at its sole discretion. The Terms and Conditions of Sale applicable to orders placed through the Site shall be those in force at the time the Customer places the order. By ticking the “I Accept” checkbox included in the order confirmation section displayed on the Site before submitting the order to INSIGHT HUNTERS, the Customer acknowledges and fully accepts these Terms and Conditions of Sale.

If the Customer does not accept the provisions of these Terms and Conditions of Sale, the Customer may not order INOXCROM® products from INSIGHT HUNTERS through the Site.

2. PURCHASE REQUIREMENTS

Only individuals who are of legal age (18 years or older) and have legal capacity to enter into contracts may place orders. If the Customer is a minor or, where applicable, does not have legal capacity to enter into a contract, one of their parents or legal guardians must place the order on their behalf. Orders placed in breach of this provision, as well as any related contracts entered into as a result of such orders, shall be null and void.

By placing an order through the Site, the Customer declares and warrants that they are a bona fide end customer and that they will not deliver, sell or otherwise distribute the Products, or purchase the Products for commercial purposes or any other commercial benefit.

If INSIGHT HUNTERS, at its sole discretion, believes that an order breaches these Terms and Conditions, it may reject the order or suspend its delivery.

3. NATURE OF ORDERS

The display of Products on the Site does not constitute an offer, but merely an invitation for the Customer to submit an offer to INSIGHT HUNTERS.

By placing an order, the Customer submits an offer to INSIGHT HUNTERS to purchase the selected Product or Products. INSIGHT HUNTERS will then process the offer in accordance with the clauses set out below, in particular clauses 6, 8 and 10 of this document.

The purchase contract shall only be concluded if INSIGHT HUNTERS expressly accepts the offer by sending a written Order Confirmation (see clause 11).

4. PRODUCT AVAILABILITY AND QUANTITY

All orders placed through the Site are subject to product availability and acceptance by INSIGHT HUNTERS at its sole commercial discretion.

INSIGHT HUNTERS reserves the right to modify the range of Products displayed on the Site and, in particular, may limit at any time the quantity of Products that a Customer may order in a single shopping session.

The Product pages included on the Site provide the Customer with information about the Products offered for sale at that time. Please note that only Products displaying the “Add to bag” button are available for purchase through the Site.

INSIGHT HUNTERS reserves the right to modify the range of items offered on its Product pages at any time.

The Customer may also contact Customer Service by calling +34 930292719, where they will be provided with further information regarding Product availability and characteristics and will be assisted in completing the purchase.

5. PERSONAL INFORMATION

In order to place an order through the Site, the Customer must provide valid and up-to-date personal information, such as their full name, tax identification number or national identity card number (DNI), telephone number and email address, as well as the Product delivery address.

6. ORDERS

Orders placed by the Customer through the Site shall be processed as follows.

After selecting a Product, the Customer must click the “Add to bag” button to place the Product in the Customer’s shopping bag.

The Customer may continue shopping for other Products and add them to their shopping bag, subject to availability and quantity limits.

The Customer may also remove one or more selected Products by clicking the “Remove” button located next to the relevant Product in the shopping bag.

The Customer must provide the personal information requested, such as the delivery address, billing address and payment details.

The Customer warrants that all personal information provided to INSIGHT HUNTERS is true and accurate.

For security and fraud prevention purposes, INSIGHT HUNTERS or its third-party service providers may collect any additional information necessary for such purposes.

Notwithstanding anything to the contrary contained herein, INSIGHT HUNTERS reserves the right to reject, cancel or void orders at any time.

For example, INSIGHT HUNTERS may reject, void or cancel a Customer’s order if there is an outstanding unresolved dispute regarding payment for a previous order, or if INSIGHT HUNTERS suspects that the Customer has engaged in fraudulent activities or has otherwise breached these Terms and Conditions of Sale.

7. PRICES, TAXES AND SHIPPING COSTS

All prices displayed on the Product pages included on the Site are in euros (including VAT) and do not include shipping costs or any other applicable taxes, unless otherwise stated.

INSIGHT HUNTERS reserves the right to modify prices and shipping costs at any time without prior notice.

INSIGHT HUNTERS will apply and honour the Product price and shipping costs displayed on the Site, as detailed by INSIGHT HUNTERS in the Order Confirmation applicable at the relevant time.

The actual shipping costs and applicable VAT will be specified in the order before the Customer is asked to confirm the order.

Shipping costs, where applicable, are detailed in the delivery policy set out below in this document.

8. CUSTOMER REVIEW AND CONFIRMATION

The ordering procedure available on the INOXCROM® Site allows the Customer to check and correct any order errors before submitting the order to INSIGHT HUNTERS.

The Customer must carefully review all details before placing the order, including, by way of example, the details of each purchase specified on the Site.

After fully reviewing the purchase offer, the Customer must tick the checkbox next to the text “I have read and accept” to indicate their agreement to be bound by these Terms and Conditions of Sale and must then click the “Place order” button on the Site to submit the order.

By placing an order through the Site, the Customer submits an offer to INSIGHT HUNTERS to purchase the Products included in the Customer’s shopping bag.

9. PAYMENT METHODS

INSIGHT HUNTERS accepts the following payment methods: Visa credit card, MasterCard and PayPal with a billing address in Spain.

The Customer must enter their payment details in the corresponding form.

INSIGHT HUNTERS will not otherwise store the payment card number.

Please refer to INSIGHT HUNTERS’ Privacy Policy for further information regarding how INSIGHT HUNTERS may use or retain your personal information.

Payment cardholders are subject to validation and authorisation checks by the card issuer.

If the payment card issuer does not authorise the payment to INSIGHT HUNTERS, the Customer must contact their card issuer to resolve the issue. In such circumstances, INSIGHT HUNTERS shall not be liable for any resulting delays or failure to deliver.

INSIGHT HUNTERS implements measures — including administrative, technical and physical measures — to protect the Customer’s personal information against loss, theft and misuse, as well as unauthorised disclosure, alteration, destruction or access.

INSIGHT HUNTERS uses Secure Sockets Layer (SSL) encryption on all web pages where personal information is collected.

Unfortunately, the transmission of information over the Internet is not 100% secure.

Although INSIGHT HUNTERS takes all reasonable measures within its power to protect the Customer’s personal information throughout the online sales process, INSIGHT HUNTERS cannot guarantee the integrity and security of the data submitted by the Customer to the Site and cannot be held liable for any damage or loss resulting from the use of the Internet network, including hacker attacks, Trojan viruses or computer viruses, which may occur despite the measures adopted to protect the security of the Customer’s data.

Please refer to INSIGHT HUNTERS’ Privacy Policy for further information on how INSIGHT HUNTERS uses and protects Customer information.

Payments for purchased Products are not financed by INSIGHT HUNTERS.

If payment is made by Visa credit card, MasterCard or PayPal, the Customer will be charged in accordance with the rules applicable to such payment methods by the respective organisations.

10. ORDER ACKNOWLEDGEMENT

After placing an order through the Site, the Customer will receive an Order Acknowledgement by email specifying the order details.

The Order Acknowledgement will include the order reference number assigned by INSIGHT HUNTERS.

It is important that the Customer retains this order reference number in case they need to make any enquiries regarding the order in the future.

The Order Acknowledgement does not constitute acceptance of the order.

Following the sending of the Order Acknowledgement, INSIGHT HUNTERS will carry out its usual security and anti-fraud checks and will then process the order.

11. ORDER CONFIRMATION BY INSIGHT HUNTERS

When the Products ordered by the Customer are dispatched and once the security and anti-fraud checks have been completed by INSIGHT HUNTERS, INSIGHT HUNTERS will send the Customer a written Order Confirmation by email.

The Order Confirmation constitutes acceptance of the order by INSIGHT HUNTERS and constitutes a binding sales contract.

12. DELIVERY POLICY

INSIGHT HUNTERS only delivers to addresses in Spain, including the Canary Islands.

INSIGHT HUNTERS does not deliver to PO boxes, hotels, public institutions or military addresses.

INSIGHT HUNTERS will add shipping costs to the price of the Products.

Shipping costs will be applied according to the purchase value of the order, as indicated in the following table.

During certain promotional periods, free delivery may be offered.

When calculating the delivery time for the parcel, the time required for order approval, address verification and order processing must be taken into account.

Once the order has been processed and is ready for dispatch, INSIGHT HUNTERS will send the Customer the Order Confirmation by email.

INSIGHT HUNTERS will use all reasonable means available to ensure the estimated delivery times from the date of acceptance of the order.

Shipping cost for the Customer:

Estimated delivery time: 3–4 days

* Saturdays, Sundays and national, provincial or local public holidays in Barcelona and/or at the destination of the order shall not be considered business days when calculating the estimated delivery period.

INSIGHT HUNTERS insures all purchases while they are in transit until they are delivered to the Customer.

Upon delivery, INSIGHT HUNTERS requires the signature of an adult confirming acceptance of each Product delivered. At that point, the risk and responsibility for the purchased Products shall transfer to the Customer.

If the Customer specifies a recipient other than the Customer for the shipment (for example, in the case of a gift to a third party), the Customer understands and agrees that the recipient’s signature (or the signature at the relevant delivery address) shall constitute sufficient proof of delivery and fulfilment of the sales contract by INSIGHT HUNTERS, and the risk and responsibility shall transfer to the recipient in the same manner as if the Product had been delivered to the Customer.

13. INVOICES

When you place an order through the Site, you, as the Customer, will receive the corresponding invoice by email.

The Customer may also receive the invoice by regular mail at the billing address by requesting it by telephone at +34 930292719, subject to appropriate identification.

14. RETURN POLICY AND CUSTOMER CANCELLATION RIGHTS

The Customer may return the Products provided that they have a manufacturing defect or do not conform to the description specified on the Site.

The return period shall be 7 business days from the date of receipt of the Product.

To initiate a return, the Customer must contact INSIGHT HUNTERS by calling +34 930292719.

The Product must be returned in its complete original packaging and must not have been tampered with or altered.

14.1. Non-Conforming Product

INSIGHT HUNTERS always strives to ensure that all Products strictly comply with quality standards and have passed all technical and aesthetic inspections.

If, despite this, the Customer receives a Product that appears to be defective or does not conform to the description specified on the Site (a “Non-Conforming Product”), the Customer may return it to INSIGHT HUNTERS following the return procedure described above.

Upon receipt, INSIGHT HUNTERS may classify the Product as a defective Product.

Please note that Products deteriorated as a result of normal wear and tear shall not be considered defective.

If INSIGHT HUNTERS determines that the Product is a Non-Conforming Product, the Customer may request that INSIGHT HUNTERS proceed as follows:

1. Replace it with an identical Product (subject to availability);
2. Repair the Product (if the repair is economically viable); or
3. Refund the full price of the Product to the Customer. Such refund shall be made within a maximum period of 30 calendar days from the date on which the Customer makes the relevant request.

INSIGHT HUNTERS may also, but shall not be obliged to, offer to replace the Non-Conforming Product with another Product of equivalent or higher value. In the latter case, the replacement shall be subject to payment by the Customer of the price difference.

Such replacement shall be carried out in accordance with the replacement rules established in these Terms and Conditions of Sale.

If the Customer disagrees with INSIGHT HUNTERS’ decision as to whether the Product is defective, INSIGHT HUNTERS may, but shall not be obliged to, carry out an additional independent inspection and assessment.

The Customer shall bear the cost of the inspection if the inspector concludes that the Product is not defective.

However, this circumstance shall not affect the Customer’s statutory rights.

15. MISCELLANEOUS PROVISIONS

15.1. Entire Agreement

These Terms and Conditions of Sale, as amended from time to time, including the policies referred to herein, constitute the entire agreement between the Customer and INSIGHT HUNTERS concerning the Customer’s purchase of Products through the Site and supersede any other agreements, arrangements, commitments or proposals, whether oral or written, existing between the Customer and INSIGHT HUNTERS in relation to the purchase in question.

Any oral agreements or statements made by the parties shall not serve to modify the interpretation of these Terms and Conditions of Sale.

15.2. Severability

If a court declares, for whatever reason, that any provision of these Terms and Conditions of Sale is partially invalid or unenforceable, the relevant provision shall be invalid or unenforceable only to the extent indicated, without affecting the validity or enforceability of the remaining provisions of these Terms and Conditions of Sale.

15.3. Jurisdiction and Applicable Law

These Terms and Conditions of Sale shall be governed by the laws of Spain.

Likewise, the contract for the purchase of Products and any disputes or claims arising from or relating to such contract shall be governed by the laws of Spain.

Except where applicable law grants jurisdiction to the courts and tribunals of the Customer’s usual place of residence, the Customer and INSIGHT HUNTERS agree that the courts and tribunals of the city of Barcelona (Spain) shall have exclusive jurisdiction.
